Terms of Service

Effective date: June 24, 2026

1. Agreement

By accessing or using this website or any services provided by RavenSlate IT LLC ("RavenSlate IT," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Services

RavenSlate IT provides managed IT services, security audits, IT support, and AI implementation services to small and medium businesses. Specific terms for each engagement (scope, deliverables, pricing, and timelines) are defined in a separate written agreement or statement of work.

3. Payment

Fees for services are outlined in your engagement agreement. Invoices are due upon receipt unless otherwise agreed in writing. RavenSlate IT reserves the right to pause or terminate services for accounts with outstanding balances.

4. Client Responsibilities

Clients agree to provide accurate information, reasonable access to systems and personnel required to perform the services, and timely responses to requests. RavenSlate IT is not liable for delays caused by a client's failure to cooperate.

5. Intellectual Property

All content on this website (including text, graphics, logos, and software) is the property of RavenSlate IT LLC and may not be reproduced without written permission. Deliverables produced for clients become the client's property upon full payment unless otherwise specified in the engagement agreement.

6. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. This obligation survives termination of the service agreement.

7. Limitation of Liability

RavenSlate IT's liability for any claim arising out of or related to services rendered is limited to the total amount paid by the client in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

8. Termination

Either party may terminate a service engagement with written notice as specified in the engagement agreement. Fees for work completed up to the termination date remain due.

9. Disclaimer of Warranties

Services are provided "as is." RavenSlate IT makes no guarantees that services will prevent all security incidents, system failures, or data loss. We will perform services with reasonable skill and care.

10. Governing Law

These terms are governed by the laws of the State of New York. Any disputes shall be resolved in the courts of Albany County, New York.

11. Changes

We may update these terms at any time. Continued use of our services constitutes acceptance of the updated terms. The effective date will reflect the most recent revision.
